Welcome to Vouchers52 Terms Policy
Definitions
Customer
– the organisation or business entity subscribing to or using the Vouchers52 software platform via authorised login credentials. The term does not include End Users.
End User
– any individual purchasing tickets, vouchers or booking services from the Customer through the Software.
Software
– the Vouchers52 online voucher, ticketing and booking platform including associated APIs, integrations, interfaces and applications.
Services
– all functionality, updates, support and related services provided via the Software.
Payment Processor
– any third-party payment gateway or merchant services provider integrated with the Software, including but not limited to Stripe.
Data Protection and Privacy
The Customer is the data controller in respect of End User data processed through the Software.
Vouchers52 acts as data processor and will process personal data only in accordance with the Customer’s lawful instructions and applicable UK data protection legislation.
Appropriate technical and organisational security measures are maintained to safeguard personal data.

User Access and Account Security
The Customer is responsible for managing access permissions and safeguarding login credentials.
Access must be restricted to authorised personnel only.
Vouchers52 shall not be liable for losses arising from unauthorised access due to failure to secure credentials.
Use of the Software
The Software must be used solely for lawful business purposes.
The Customer is responsible for compliance with all consumer protection, event licensing, VAT and other applicable laws relating to ticket and voucher sales.
The Customer is solely responsible for fulfilment of tickets, vouchers and experiences sold via the Software.
Payment Processing and Chargebacks
All payment transactions are processed via the Customer’s chosen Payment Processor.
Vouchers52 does not hold customer funds unless expressly agreed in writing.
The Customer is solely responsible for merchant account compliance, transaction disputes and chargebacks.
Vouchers52 shall not be liable for payment reversals, processor penalties, fraud, or chargeback losses.
Where fees are deducted automatically from transactions, such deductions are agreed as part of the commercial arrangement.
Ticket and Voucher Inventory Responsibility
The Customer is responsible for managing availability, allocation and inventory limits.
Vouchers52 is not responsible for overselling resulting from configuration errors or manual adjustments.
All refunds, fulfilment failures or consumer disputes remain the responsibility of the Customer.
System Performance and Capacity
The Software operates within a managed cloud infrastructure designed for standard commercial usage.
Performance may be affected by unusually high transaction volumes or third-party integrations.
For high volume 'managed' accounts, with agreed separate support agreements, Vouchers52 may recommend resource upgrades or configuration adjustments where required.
Failure to implement recommended changes may result in reduced performance for which Vouchers52 accepts no liability.
Upgrades and End-of-Life
Updates and new versions may be released periodically.
Legacy versions may be retired with reasonable notice.
Continued use of unsupported versions is at the Customer’s risk.
Support and Maintenance
Support is provided according to the agreed service plan.
Customers operating under revenue-share arrangements without a formal SLA receive reasonable support via email and phone.
Scheduled maintenance may occur with reasonable notice.
White-Label and Enterprise Use
Where the Software is provided on a white-label basis, the Customer remains fully responsible for compliance, branding representations and End User obligations.
No partnership, agency or joint venture is created by use of the Software.
Intellectual Property
All intellectual property rights in the Software remain the property of Vouchers52.
No rights are granted except the limited licence necessary to use the Software during the subscription period.
The Customer may not reverse engineer, copy, resell or sub-license the Software without written permission.
Suspension and Termination
Vouchers52 may suspend access where the Customer breaches these Terms or where required to protect system integrity.
Either party may terminate the agreement in accordance with the agreed commercial terms.
Upon termination, access to the Software will cease.
Force Majeure
Vouchers52 shall not be liable for failure or delay caused by events beyond its reasonable control, including but not limited to internet outages, cloud infrastructure failures, acts of government, natural disasters or labour disputes.
Limitation of Liability
To the fullest extent permitted by law, Vouchers52 excludes liability for indirect or consequential loss, including loss of profit, revenue, goodwill or data.
Total aggregate liability shall not exceed the total fees paid by the Customer in the preceding 12 months.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.
Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction to settle any dispute arising under these Terms.
Entire Agreement
These Terms constitute the entire agreement between the parties and supersede all prior agreements or understandings.
If any provision is found unenforceable, the remaining provisions shall remain in effect.
Acceptance
Continued use of the Software constitutes acceptance of these Terms.
